Contract between Fan and Creator

1. Overview & Legal Framework

This document sets forth the standard legally binding agreement (the "Fan-Creator Agreement") that takes effect whenever a registered user ("Fan" or "Subscriber") engages in a monetized transaction with a content publisher ("Creator") on fanzzer.com ("Platform").

Whether purchasing a monthly subscription, unlocking pay-per-view (PPV) media, sending paid direct messages, or contributing voluntary tips, this agreement defines the direct rights, viewing permissions, and conduct obligations established between the Fan and the Creator.

2. Parties to the Transaction & Role of the Platform

Direct Bilateral Relationship: The substantive licensing agreement for the viewing of digital media exists exclusively between the Creator granting access and the Fan obtaining access.

Role of Fanzzer: The Platform is owned and operated by nfluencer llc. Fanzzer acts as an intermediary technology host, identity verification gateway, and payment facilitation agent. Fanzzer is not a direct publisher, co-creator, or party to individual fan-creator licensing transactions, except as an express third-party beneficiary entitled to enforce platform integrity, copyright rules, and safety terms.

Neither Fan nor Creator may alter, supersede, or substitute these terms with external agreements or private stipulations regarding interactions conducted on Fanzzer.

3. Key Definitions

• Creator: An authenticated user who has completed mandatory Veriff KYCidentity and age verification, enabling monetization tools to post and distribute media.
• Fan / Subscriber: A registered platform member who purchases access to view a Creator's media catalog, exclusive posts, or interactive features.
• Creator Content: Any digital material uploaded, broadcast, or sent by a Creator, including photos, videos, livestreams, audio recordings, text posts, pay-per-view attachments, and direct messages.
• Creator Interaction: Any transaction or event on Fanzzer that provides content access, including recurring monthly subscriptions, single pay-per-view unlocks, premium chat media, and tipping.
• Platform Fee: The fifteen percent (15%) service fee retained by Fanzzer from gross transaction amounts to maintain infrastructure, streaming delivery, compliance, and payment operations.
• Creator Earnings: The net eighty-five percent (85%) of transaction proceeds credited to the Creator's internal Wallet balance for disbursement via MassPay.
• Digital Viewing License: The limited, non-exclusive, revocable right granted to the Fan to stream and view designated content solely through the official Fanzzer web application.

4. Pricing, Currency & Platform Fee Allocation

When initiating any Creator Interaction, the Fan agrees to pay the designated price displayed at checkout plus applicable statutory sales, value-added, or indirect taxes.

• Currency: All transactions, subscriptions, and wallet balances on Fanzzer are denominated and executed in United States Dollars (USD).
• Payment Collection: The Fan authorizes Fanzzer and its authorized payment processing partners to charge their payment instrument for the full transaction amount.
• Fee Deduction & Wallet Crediting: The Creator expressly authorizes Fanzzer to deduct the 15% Platform Fee at the point of processing and credit the resulting 85% Creator Earnings to the Creator's internal account ledger.
• Payout Distribution: Creator Earnings are disbursed to the Creator through MassPay.io once standard payout verification criteria and thresholds are met.
• Disputes & Reversals: If any fan payment is reversed, charged back, or refunded, Fanzzer is authorized to debit the associated Creator Earnings from the Creator's balance or upcoming settlements.

5. Memberships & Recurring Billing Terms

Subscription Auto-Renewal: When choosing to subscribe to a Creator's profile, the Fan authorizes ongoing recurring monthly charges at the published monthly rate (plus applicable tax) until explicitly cancelled.

A subscription will continue renewing automatically at each thirty-day interval unless:

• The Fan turns off automatic renewal in their Subscriptions settings prior to the scheduled renewal timestamp;
• The transaction is rejected by the issuing bank or payment processor and no updated payment method is supplied;
• The Creator increases the monthly subscription fee, in which case the renewal pauses until the Fan affirmatively opts into the revised pricing; or
• Either the Fan or Creator account is suspended, closed, or permanently deleted.

Subscribers acknowledge that Fanzzer does not provide individual pre-billing notices prior to standard periodic renewal charges.

6. Scope of Digital Viewing License

Upon verified receipt of payment, the Creator grants the Subscriber a personal, revocable, non-exclusive, non-assignable, and non-sublicensable viewing license to access and stream the designated Creator Content solely within the authenticated Fanzzer platform interface.

This license is strictly confined to private, personal, non-commercial viewing. It does not convey any copyright, publishing, or distribution rights whatsoever.

7. Anti-Piracy, Content Protection & AI Prohibitions

To protect creator livelihoods and privacy, Subscribers are subject to rigorous content security standards. The Fan explicitly covenants and agrees that they will NOT:

• Capture, record, rip, scrape, download, screenshot, or store any Creator Content outside the native browser player;
• Re-host, broadcast, syndicate, leak, trade, or distribute Creator media on external websites, cyberlockers, forums, social channels, Telegram channels, or Discord servers;
• Circumvent or tamper with digital rights management, watermarking, stream obfuscation, or domain-restricted tokens;
• Feed, ingest, or utilize any Creator images, audio, or video into machine learning models, artificial intelligence pipelines, generative tools, or deepfake synthesis engines;
• Share, sell, or transfer account credentials to enable third parties to bypass paywalls or access subscriber-only feeds.

Violation of content protection terms constitutes willful copyright infringement and breach of contract, resulting in immediate permanent account banning, forfeiture of funds, and referral for civil litigation and DMCA damages.

8. Creator Ownership of Intellectual Property

Full IP Retention: The Creator remains the sole and exclusive owner of all copyright, moral rights, trademarks, and intellectual property embodied in their uploaded Content.

At no point does any payment, tip, interaction, or subscription transfer ownership, title, or resale rights to any Fan.

9. Automatic Expiration and Revocation of License

The limited viewing license granted to a Fan terminates immediately and automatically without notice upon the occurrence of any of the following:

• The associated transaction is reversed, charged back, refunded, or disputed;
• The active monthly subscription term lapses without successful renewal;
• The Creator deletes the specific post, media item, or their Creator account;
• The Fan's account is closed, restricted, suspended, or terminated;
• The Fan violates this Agreement or the Fanzzer Terms of Service; or
• The media is taken down by Fanzzer in connection with moderation, safety review, or legal compliance.

10. Content Lifecycle & Creator Autonomy

Creators retain full autonomy to manage, archive, unpublish, or replace their media catalog at any time.

Fans acknowledge that payment for a subscription or pay-per-view unlock grants viewing access for as long as the content is maintained online by the Creator, and does not constitute a promise of indefinite or perpetual hosting.

11. Digital Delivery & Refund Considerations

Immediate Digital Execution: Because digital media, pay-per-view items, and creator feeds are made available immediately upon transaction confirmation, the Fan acknowledges and agrees that statutory consumer cancellation periods ("cooling-off rights") are waived once access has been furnished.

Refund Handling: Refund requests are evaluated on a case-by-case basis by payment processor support and Fanzzer customer care.

Unjustified or bad-faith chargebacks will result in immediate platform suspension, balance revocation, and potential reporting to global fraud prevention registries.

Platform access and streaming infrastructure are delivered on an "as-is" and "as-available" basis. Periodic network latency, maintenance windows, or temporary service interruptions may occur.

Neither the Creator nor Fanzzer warrants uninterrupted transmission or defect-free digital playback.

14. Governing Law & Dispute Resolution

Applicable Law: This Agreement and any dispute arising between Fan and Creator shall be governed by and interpreted under the laws of the State of Delaware, United States, without regard to principles of conflicts of law.

Dispute Forum: Any claims or disagreements shall be resolved through individual binding arbitration in accordance with the dispute resolution and arbitration provisions of the Fanzzer Terms of Service. Class actions and jury trials are waived to the fullest extent permitted by law.
